1.1 Proprietary Rights

All materials provided or made available through the Services—including, but not limited to, text, software, graphics, and the overall look and feel of the Services, as well as any trademarks, copyrights, patents, and other intellectual property rights related thereto (collectively, “Proprietary Materials”)—are owned or controlled by 6AM City; its subsidiaries or affiliates; contributors; third-party licensors; or advertising partners.

No portion of the Services may be used or reproduced without our prior written consent, except as expressly permitted by these Terms or by applicable law.

1.2 User Content

You may have the opportunity to post, upload, or submit content (“Your Content”) through the Services. By doing so, you grant 6AM City a nonexclusive, perpetual, irrevocable, royalty-free, worldwide, transferable, and sublicensable license to access, use, host, cache, store, reproduce, transmit, display, publish, distribute, modify, adapt, and create derivative works from Your Content for any purpose related to the operation or promotion of the Services.

You represent and warrant that you have all necessary rights to grant us this license, and that Your Content does not violate any third party's rights or applicable law.

2. Conduct

You agree to use the Services only for lawful purposes. You shall not:

• Post or share content depicting, encouraging, or facilitating criminal or tortious behavior;
• Infringe upon the intellectual property or other rights of any party;
• Circumvent or interfere with any security-related features of the Services; or

WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE FORM OF ACTION OR BASIS OF ANY CLAIM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

5. Applicable Law; Jurisdiction

These Terms and any dispute arising out of or relating to them will be governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any legal action or proceeding related to the Services shall be brought exclusively in a court of competent jurisdiction located in Delaware, and you consent to the personal jurisdiction and venue of such courts.

6. Binding Arbitration

Any controversy or claim arising out of or relating to these Terms or the Agreement (including any question regarding its existence, validity, or termination) shall be settled by binding arbitration in accordance with the Comprehensive Arbitration Rules and Procedures of JAMS, as modified by these Terms. The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

7. Modifications

We reserve the right to modify or update the Services, these Terms, or any other posted policy at any time. We will provide notice of such changes by posting the revised Terms on the Services with a new “Date Last Updated.” Your continued use of the Services following any such changes constitutes your acceptance of the revised Terms.

8. Technology

From time to time, like most companies, we may use technology in our workflow, including but not limited to, third party media monitoring tools, content management software, and LLMs to improve the accuracy and quality of our content. Like any content on the internet, our content may occassionally contain errors or outdated information. By using the Services, you understand and agree that:

• Technology is used in our production workflows, and these tools are themselves subject to limitations and potential inaccuracies.
• We do not explicitly guarantee the completeness, reliability, or usefulness of our content.
• You acknowledge that, like with any content available on the internet, you are ultimately responsible for verifying any information before relying on it.

9. Eligibility & Accounts

You must be at least the age of majority in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet all applicable eligibility requirements. If you create an account or subscribe to our newsletter, you agree to provide accurate, current, and complete information. You are solely responsible for safeguarding your account credentials and for all activity occurring under your account.

You agree to indemnify, defend, and hold harmless 6AM City, its affiliates, and their respective officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with: (a) your access to or use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights or applicable law.

11. Termination

We reserve the right, at our sole discretion, to suspend or terminate your access to the Services at any time for any reason, including but not limited to a breach of these Terms. Upon termination, all licenses and other rights granted to you in these Terms will immediately cease.

12. Severability; Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent permissible by law. These Terms, together with the Agreement and any additional policies or terms to which they refer, constitute the entire understanding between you and 6AM City concerning the Services, and they supersede all prior or contemporaneous communications.
